1. Introduction and Acceptance of Terms

Welcome to Ashane POS Cloud Edition ("Ashane POS", "the Service", "the Platform", or "the Application").

Ashane POS is a business management and point-of-sale solution owned and operated by Ashane Business Solutions ("Ashane Business Solutions", "we", "us", or "our").

The application was developed by Tinomutenda Praymore Nkomo, serving as the developer and creator of the Ashane POS software.

By registering for, accessing, installing, or using Ashane POS, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not access or use the Service.

These Terms constitute an agreement between you ("the User", "you", or "your") and Ashane Business Solutions.

2. Ownership and Intellectual Property

Ashane POS, including its software, application interface, design, branding, logos, features, functionality, documentation, graphics, databases, source code, and related materials, is the proprietary property of Ashane Business Solutions, unless otherwise expressly stated.

The software was developed by Tinomutenda Praymore Nkomo for Ashane Business Solutions.

All intellectual property rights relating to Ashane POS are owned by, licensed to, or otherwise legally controlled by Ashane Business Solutions.

Nothing in these Terms grants you ownership of Ashane POS or any of its intellectual property.

You are granted only a limited, non-exclusive, non-transferable, and revocable right to use the Service for legitimate business purposes in accordance with these Terms and your applicable subscription plan.

You may not copy, reproduce, modify, reverse engineer, decompile, disassemble, distribute, sell, sublicense, lease, or create derivative works from any part of Ashane POS without prior written authorization from Ashane Business Solutions.

3. Description of the Service

Ashane POS is a business management and point-of-sale platform designed to assist businesses with the management of their day-to-day operations.

Depending on your subscription plan, available functionality may include:

• Point-of-sale and sales processing
• Product and inventory management
• Customer management
• Employee and user management
• Multi-user access and role-based permissions
• Multi-store management
• Expense and cash management
• Business reporting and analytics
• Receipt generation and printing
• Multiple payment methods and currencies
• Business asset management
• Data synchronization and backup functionality
• Hardware integration, where supported
• Other business management features introduced from time to time

Features and functionality may vary depending on your subscription plan, device, operating environment, and future updates to the Service.

Ashane Business Solutions reserves the right to introduce, modify, improve, restrict, or discontinue features where reasonably necessary.

4. User Registration and Account Responsibilities

To use certain features of Ashane POS, you may be required to create an account.

When registering, you agree to:

• Provide accurate, current, and complete information;
• Maintain and update your account information where necessary;
• Keep your login credentials confidential;
• Take reasonable measures to prevent unauthorized access to your account;
• Notify Ashane Business Solutions promptly if you suspect unauthorized access or use of your account; and
• Accept responsibility for activities conducted through your account where such activities result from your failure to adequately protect your credentials.

Users must be 18 years of age or older to independently create and maintain an account, unless an account is created and managed by an authorized organization or responsible adult.

You must not create an account using false information, impersonate another person or organization, or use another person's account without authorization.

Ashane Business Solutions reserves the right to suspend, restrict, or terminate accounts that violate these Terms or present a security, legal, or operational risk.

5. Subscriptions, Fees and Payments

Ashane POS may provide free trial access, subscription-based plans, or other pricing arrangements determined by Ashane Business Solutions.

Where a paid subscription applies:

• Subscription fees must be paid in accordance with the applicable pricing plan.
• Fees may be payable in advance for the selected subscription period.
• Unless otherwise expressly stated, subscription fees are non-refundable once a subscription period has commenced.
• You are responsible for ensuring that applicable subscription payments are made on time.
• Failure to make required payments may result in restriction, suspension, or termination of access to paid features.
• Ashane Business Solutions may introduce new plans, modify existing plans, or change subscription pricing.
• Where reasonably practicable, material pricing changes affecting existing subscriptions will be communicated in advance.

Promotional offers, discounts, trials, or special pricing may be subject to additional terms and conditions.

6. Free Trials and Promotional Access

Where Ashane POS provides a free trial or promotional subscription, access is provided for the period and under the conditions specified at the time of registration.

Ashane Business Solutions reserves the right to modify, limit, or discontinue promotional offers and free trials at any time.

At the end of a trial period, continued access to paid features may require activation of an applicable subscription plan.

7. Business Data and Data Ownership

You retain ownership of the business information and data that you lawfully upload, enter, or otherwise submit to Ashane POS ("User Data").

Ashane Business Solutions does not claim ownership of your business records merely because you use the Service to store or process them.

You are responsible for ensuring that:

• You have the necessary rights and permissions to upload and process your data;
• Information entered into the system is accurate;
• Your business complies with applicable laws and regulations; and
• You maintain appropriate internal records and backups where necessary.

Ashane Business Solutions may process User Data as necessary to provide, maintain, secure, improve, and support the Service, subject to applicable privacy laws and the Ashane POS Privacy Policy.

8. Privacy and Security

Ashane Business Solutions takes reasonable measures to protect information processed through Ashane POS.

Your use of the Service is also subject to our Privacy Policy, which explains how information may be collected, processed, stored, and protected.

Although we implement reasonable technical and organizational safeguards, no internet-based or electronic system can be guaranteed to be completely secure.

You are responsible for maintaining appropriate security practices for your account, devices, passwords, users, and business environment.

9. Acceptable Use

You agree to use Ashane POS only for lawful and legitimate business purposes.

You must not:

• Use the Service for unlawful, fraudulent, or unauthorized activities;
• Attempt to obtain unauthorized access to the Service, another user's account, or any associated systems;
• Introduce viruses, malware, ransomware, malicious scripts, or other harmful code;
• Interfere with or disrupt the operation, security, or performance of the Service;
• Attempt to bypass subscription restrictions, authentication mechanisms, or security controls;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
• Copy, reproduce, resell, lease, sublicense, or redistribute the Service without authorization;
• Use the Service to infringe another person's intellectual property, privacy, or other legal rights;
• Abuse, exploit, or intentionally overload the Service or its infrastructure; or
• Use Ashane POS in any manner that could damage Ashane Business Solutions, its users, or the integrity of the Service.

Violation of these requirements may result in immediate restriction or termination of access.

10. Third-Party Hardware and Services

Ashane POS may support integration with certain third-party hardware, payment methods, printers, barcode scanners, cash drawers, devices, operating systems, or external services.

Compatibility may depend on the hardware manufacturer, device configuration, operating system, network environment, and third-party software.

Ashane Business Solutions is not responsible for failures caused exclusively by third-party hardware, infrastructure, applications, telecommunications networks, payment providers, or services outside its reasonable control.

11. Service Availability and Maintenance

Ashane Business Solutions aims to provide a reliable and continuously improving service. However, we do not guarantee that Ashane POS will be available without interruption or achieve 100% uptime.

The Service may occasionally be unavailable due to:

• Scheduled or emergency maintenance;
• Software updates;
• Security measures;
• Network or telecommunications failures;
• Cloud infrastructure issues;
• Third-party service interruptions;
• Hardware or device failures; or
• Circumstances beyond our reasonable control.

Where reasonably possible, we will attempt to provide advance notice of planned maintenance that may materially affect availability.

12. Offline Functionality and Synchronization

Certain versions or features of Ashane POS may support offline operation.

Where offline functionality is available, transactions or information may be stored locally and synchronized when an appropriate connection becomes available.

You acknowledge that synchronization may be affected by device failure, storage limitations, connectivity issues, conflicting records, software errors, or other technical circumstances.

Users should maintain appropriate backups and operational procedures for important business records.

13. Backups and Data Protection

Where Ashane POS provides backup functionality, such functionality is intended as an additional safeguard and should not be treated as a substitute for independent business continuity procedures.

You remain responsible for maintaining appropriate copies of critical business information where necessary.

Ashane Business Solutions will take reasonable measures to maintain the integrity and availability of supported cloud data but cannot guarantee that data will never be lost, corrupted, altered, or rendered temporarily inaccessible due to circumstances beyond its reasonable control.

14. Technical Support

Ashane Business Solutions may provide technical support to users according to the applicable subscription plan or support arrangement.

Support may include assistance with:

• Account access;
• Software functionality;
• Configuration;
• Supported hardware integrations;
• Troubleshooting;
• Updates and general usage guidance.

Support does not necessarily include repair of third-party hardware, internet connectivity, operating systems, or unrelated software.

15. Intellectual Property Protection

All trademarks, service marks, logos, names, designs, interfaces, software components, documentation, and other intellectual property associated with Ashane POS remain the property of Ashane Business Solutions or their respective rights holders.

The names "Ashane POS", "Ashane", and associated branding may not be copied, altered, reproduced, or used commercially without prior authorization from Ashane Business Solutions.

16. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Ashane POS is provided on an "as is" and "as available" basis.

Ashane Business Solutions does not guarantee that:

• The Service will always operate without interruption or errors;
• The Service will meet every specific business requirement;
• All features will be available on every device or subscription plan;
• Data will never be lost or corrupted;
• The Service will be completely free from security vulnerabilities; or
• The Service will remain unchanged indefinitely.

Nothing in these Terms excludes any warranty or consumer protection right that cannot lawfully be excluded under applicable law.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Ashane Business Solutions, its directors, employees, developers, contractors, affiliates, and service providers shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from or relating to your use of, or inability to use, Ashane POS.

This may include, where legally permissible, loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, or business interruption.

Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

18. User Responsibility for Business Operations

Ashane POS is a software tool designed to assist with business management. It does not replace your responsibility to properly manage your business.

You remain responsible for:

• The accuracy of your business records;
• Pricing and tax configurations;
• Employee permissions;
• Stock counts and inventory verification;
• Financial and accounting decisions;
• Compliance with applicable laws and regulations;
• Customer and supplier information;
• Business continuity procedures; and
• Reviewing reports and transactions before relying on them for significant business decisions.

19. Suspension and Termination

Ashane Business Solutions may suspend or terminate your access to Ashane POS where:

• You materially breach these Terms;
• Required subscription fees remain unpaid;
• Your use of the Service presents a security or legal risk;
• You engage in fraudulent, abusive, or unlawful activity; or
• Suspension or termination is otherwise reasonably necessary to protect the Service, Ashane Business Solutions, or other users.

You may discontinue use of Ashane POS at any time, subject to any applicable subscription terms.

Upon termination, your right to access paid or restricted features may cease.

Where applicable and technically feasible, Ashane Business Solutions may provide a reasonable opportunity for you to retrieve your data following termination, subject to applicable retention requirements and subscription conditions.

20. Changes to These Terms

Ashane Business Solutions may update these Terms from time to time to reflect changes in the Service, business practices, technology, legal requirements, or security standards.

Updated Terms will be made available through appropriate Ashane POS channels.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

21. Governing Law

These Terms shall be interpreted and governed in accordance with the applicable laws of Zimbabwe, unless applicable law requires otherwise.

Any disputes relating to the Service or these Terms shall be handled in accordance with the applicable legal and judicial processes of Zimbabwe.

22. Entire Agreement

These Terms, together with the Ashane POS Privacy Policy and any applicable subscription or service-specific terms, constitute the agreement governing your use of Ashane POS.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the extent permitted by law.
